Terms of Service

1. Who we are

Vaultli (vaultli.ai) is run by Holistic Brain, LLC, doing business as Vaultli, a Hawaii company ("we", "us"). These terms are an agreement between you and us. By creating an account or using Vaultli, you agree to them and to our Privacy Policy.

2. Your account

You must be at least 18 and able to enter a contract. Give us accurate information, keep your login private, and tell us at support@vaultli.ai if you think someone else has used your account. You are responsible for everything done through your account.

3. Trial, plans and billing

• Trial: new accounts start with a 7-day trial for $1. When the trial ends, your plan renews automatically at its monthly price (Studio is $97 a month) unless you cancel before then. Discount codes apply as described when you use them.
• Billing: plans are billed monthly in advance and renew automatically until you cancel. Payments are handled by Stripe; we never see or store your full card number.
• Price changes: we'll give you at least 30 days' notice by email or in the app, and the new price applies from your next renewal after that.

4. Cancelling and refunds

• How to cancel: at any time, from Settings → Billing → Manage subscription, or by emailing support@vaultli.ai.
• What happens: you keep access until the end of the period you've already paid for, and you won't be charged again.
• No refunds: payments are non-refundable, including partial months and unused allowance, except where the law requires otherwise.

5. Monthly allowances

• What's capped: each plan includes a monthly number of AI image posts. Posts made from your own photos, quote cards and reel captions don't count against it.
• Refills: allowances refill with each successful monthly payment, and unused amounts don't carry over.
• Fair-use limits: we may apply reasonable limits to protect the service.

6. Your content

• What you own: you keep ownership of everything you upload: photos, documents, videos, links, brand details and captions.
• What you let us do: you give us permission to store, process and copy it only as needed to run Vaultli for you. That includes sending it to the service providers named in our Privacy Policy, for example to write captions or make images.
• No AI training: we don't use your content to train AI models.
• Your rights: you confirm you have the right to upload what you upload.

7. AI-generated content

• Ownership: as between you and us, the captions and images Vaultli makes for you are yours to use.
• Review before posting: AI output can be inaccurate, incomplete or similar to content made for others, and you are responsible for checking every post before you publish it.
• No professional advice: Vaultli doesn't give legal, medical, financial or other professional advice. If your field has rules about claims or advertising, making sure your posts follow them is your responsibility.

8. Publishing to social platforms

• How it works: when you connect Instagram or Facebook, Vaultli publishes and schedules posts through a publishing partner. Your use of those platforms is also governed by their own terms.
• What we don't control: we're not responsible for a platform's decisions, outages, limits or removal of your content. We also can't guarantee a scheduled post will publish at the exact time set.

9. Acceptable use

Don't use Vaultli to:

• create or publish anything illegal, infringing, deceptive, hateful, harassing or sexually explicit, or anything that exploits minors;
• impersonate anyone;
• send spam;
• break into, overload, copy, scrape or reverse-engineer the service;
• resell or share access outside your plan.

10. Suspension and termination

• When we can act: we may suspend or close an account that breaks these terms, puts others at risk, or doesn't pay. Where it's reasonable, we'll tell you first and give you a chance to fix it.
• Closing your account: email support@vaultli.ai. What happens to your data afterwards is set out in our Privacy Policy.

11. Changes to the service

Vaultli is growing, and features may be added, changed or retired. We aim to keep it available but don't promise it will be uninterrupted or error-free.

12. Disclaimer

Vaultli is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose.

13. Limitation of liability

To the extent the law allows:

• we're not liable for indirect or consequential losses, such as lost profits, revenue, followers or data;
• our total liability for any claim is limited to the amount you paid us in the 12 months before it arose.

14. Indemnity

You agree to cover our reasonable losses if a claim against us arises from your content or your breach of these terms.

15. Governing law

These terms are governed by the laws of the State of Hawaii, and disputes will be handled in the state or federal courts located in Hawaii.

16. Changes to these terms

If we make material changes, we'll tell you by email or in the app before they take effect. Continuing to use Vaultli after that means you accept them.
